1. Acceptance of Terms

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, you may not access or use the Service.

2. Description of Service

AscendHub provides a customer relationship management (CRM) platform built for independent insurance producers, agents, and small agencies. Depending on your plan, the Service helps you track leads and clients, manage a sales pipeline, schedule follow-ups, store policies and renewal dates, build indicative multi-carrier quotes, send drop-ticket applications for electronic signature, work client service requests, generate certificates of insurance, log and reconcile commissions against carrier statements (including flagging short-paid commission and producing dispute documents), model override commission hierarchies, track licenses and appointments, place calls and texts, create quotes and invoices, run marketing campaigns, and generate AI-assisted content. The Service is available via web browser and mobile application.

Indicative quotes, commission figures, reconciliation results, and AI-generated content are informational tools only. They are not carrier-issued quotes, binding offers of coverage, statements of account, accounting records, or legal or compliance advice. You are responsible for verifying all figures and coverage terms with the carrier of record before relying on them.

3. Account Registration

To use most features, you must create an account. You agree to:

• ●Be at least 13 years of age (or the age of digital consent in your jurisdiction)
• ●Notify us of any unauthorized use of your account
• ●Be responsible for all activity under your account

4. Subscription Plans and Billing

The Service offers free and paid subscription plans. Paid plans are billed monthly or annually through Stripe. Annual billing is discounted approximately 20% versus monthly. By subscribing to a paid plan, you authorize us to charge the applicable fees to your payment method on a recurring basis until you cancel.

• ●Free Plan ($0/month): 1 user, up to 10 leads and 10 clients, pipeline and Kanban board, policy records with renewal tasks, activities and calendar, production goals, quotes and invoices, basic email templates, CSV import, and the in-app AI assistant. Available indefinitely at no cost.
• ●Standard Plan ($29/month flat, or $23/month billed annually): Single user only — no team members or role permissions. Up to 500 leads and 500 clients, plus everything in Free and: multi-carrier quoting, e-app and electronic signature, the service desk, certificates of insurance, quote recovery, commission logging, carrier statement import, reconciliation and the recovery ledger, licenses and appointments, automated renewal emails and text messages, cross-sell sequences, click-to-call, texting and the power dialer, workflow automations, reporting, integrations, and email support.
• ●Pro Plan ($79 per seat/month, or $63 per seat billed annually): Up to 10 seats and 5,000 leads, plus everything in Standard and: multi-user access, team roles and permissions, team messaging and a shared dashboard, team leaderboard, lead source attribution, campaign tracking, lead scoring, advanced analytics, audit log and retention controls, and priority support.
• ●Enterprise Plan ($89 per seat/month, or $71 per seat billed annually): Up to 50 seats, unlimited leads and clients, plus everything in Pro and: override commission hierarchy with automatic upline splits, downline production reporting, and custom branding.
• ●Feature availability: The plan breakdown published on our Plans page is the current, authoritative list of what each plan includes. Features gated to a higher plan remain visible in the app with an upgrade prompt. We may add features to plans over time; we will not remove a materially advertised feature from your plan mid-term without notice.
• ●Seats: Per-seat plans are billed on the number of seats you select at checkout. Adding seats increases your recurring charge; removing seats takes effect at the next renewal.
• ●Cancellation: You may cancel your subscription at any time from your Settings page. Cancellation takes effect at the end of the current billing period — you retain access until then.
• ●Price Changes: We may change subscription fees with at least 30 days notice. Existing subscribers are locked in at their current rate until the next renewal after the price change.
• ●Refunds: New paid subscriptions are covered by a 14-day money-back guarantee. After 14 days, payments are non-refundable and no refunds are issued for partial or unused billing periods.

5. Acceptable Use

You agree not to misuse the Service. Prohibited conduct includes, but is not limited to:

• ●Using the Service for any unlawful purpose
• ●Uploading or transmitting viruses, malware, or harmful code
• ●Attempting to gain unauthorized access to the Service, other accounts, or our systems
• ●Scraping, copying, or extracting data from the Service beyond your own data
• ●Using the AI features to generate content that is fraudulent, defamatory, or infringes on intellectual property
• ●Sharing your account credentials with others outside your organization

6. Your Content

You retain ownership of all leads, clients, policies, commissions, notes, activities, invoices, campaigns, and other data you create in the Service ("Your Content"). You grant us a limited license to host, store, and process Your Content solely to provide the Service to you. You are responsible for ensuring you have the right to store and process any contact data you upload, including compliance with applicable data protection laws (e.g., GDPR, CCPA) for your contacts.

7. Third-Party Integrations

The Service integrates with third-party services including Google (Sign-In, Gmail, and Calendar), Microsoft Outlook, Calendly, Stripe (payments), Twilio (calls and text messaging), Resend (transactional email), Zapier, and AI providers for content generation. Your use of these integrations is subject to the respective third party's terms and privacy policy. We are not responsible for the practices of these third parties, but we limit data sharing to what is necessary to provide the requested feature.

Calls and Text Messages: If you use the calling and SMS features, you are solely responsible for complying with applicable telemarketing and messaging laws, including the TCPA, state consent laws, and carrier requirements — including obtaining consent before contacting a client or prospect and honoring opt-out requests.

8. Intellectual Property

The Service, including its design, features, and software, is owned by AscendHub LLC and protected by intellectual property laws. You may not copy, modify, or distribute the Service without our prior written consent.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure. AI-generated content may be inaccurate or incomplete — you are responsible for reviewing and verifying any content before sharing it with clients or prospects.

10. Limitation of Liability

To the maximum extent permitted by law, AscendHub LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim shall not exceed the amount you paid in the 12 months preceding the claim.

11. Termination

You may delete your account at any time from your Profile page. Administrators may also configure retention rules that automatically purge older operational records (such as activity history, audit logs, and notifications) on a schedule they choose. We may suspend or terminate your account if you violate these Terms or engage in conduct harmful to the Service or other users. Upon termination, your data will be deleted within 30 days, except where retention is required by law.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the United States and the state in which AscendHub LLC is registered, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.
